TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern the brokerage and related services provided by Infinity Global Xpress LLC dba IGX (“IGX,” “Broker,” “we,” “us,” or “our”) to its customers (“Customer,” “you,” or “your”) in connection with the arrangement of transportation and related services.

By requesting, booking, accepting, or using any services provided or arranged by IGX, Customer agrees to be bound by these Terms.

1. DEFINITIONS

For purposes of these Terms:

“Broker” or “IGX” means Infinity Global Xpress LLC dba IGX.

“Customer” includes the consignor, shipper, consignee, owner of the Goods, and any person or entity lawfully acting on behalf of any of the foregoing.

“Goods” means articles, commodities, merchandise, products, materials, packaging, containers, pallets, shipping units, or other property that Customer requests IGX to arrange for transportation from a place of receipt to a place of delivery.

“Carrier” means a motor carrier, freight forwarder, or other transportation provider engaged by IGX or otherwise involved in providing transportation services.

“Carriage” means the transportation of Goods from the agreed place of receipt to the agreed place of delivery.

“Services” means transportation brokerage, Carriage arranged through third-party Carriers, and any other services that IGX agrees to provide or arrange for Customer.

“Charges” means freight charges, brokerage charges, transportation costs, accessorial charges, detention, demurrage, storage, re-delivery, cancellation charges, and any other amounts arising from or relating to the Services, together with reasonable collection costs, attorneys’ fees, and court costs where permitted by applicable law.

2. ACCEPTANCE OF THESE TERMS

By requesting or authorizing IGX to arrange Services, Customer acknowledges and agrees to these Terms.

These Terms apply to all shipments and Services arranged by IGX unless the parties have entered into a separate written agreement signed by an authorized representative of IGX that expressly modifies these Terms.

No employee, agent, driver, Carrier, or other representative may modify or waive these Terms unless the modification is expressly authorized in writing by IGX.

Customer may be required to provide or approve a bill of lading, shipping instructions, rate confirmation, load tender, or other transportation document. Such documents do not modify these Terms unless expressly agreed to in writing by IGX.

These Terms and any applicable rate confirmation or written service agreement constitute the agreement between IGX and Customer concerning the Services.

3. IGX’S ROLE AS A FREIGHT BROKER

Customer acknowledges that IGX operates as a property broker and arranges transportation services through independent third-party Carriers.

IGX is not the motor carrier responsible for physically transporting the Goods unless IGX expressly agrees otherwise in writing.

IGX may select, engage, and coordinate with qualified Carriers to perform the transportation requested by Customer.

The Carrier performing the transportation is responsible for the actual physical movement, loading, handling, and delivery of the Goods, subject to the Carrier’s applicable operating authority, contractual obligations, and applicable law.

Customer acknowledges that IGX does not take possession of, physically transport, load, unload, or store Goods unless expressly agreed in writing.

4. CUSTOMER’S RESPONSIBILITIES

Customer is responsible for providing IGX with complete, accurate, and timely information necessary to arrange the Services.

Customer must accurately disclose, where applicable:

  • The nature and description of the Goods;
  • Quantity and weight;
  • Dimensions;
  • Value of the Goods;
  • Pickup and delivery locations;
  • Pickup and delivery requirements;
  • Hazardous-material information;
  • Special handling requirements;
  • Temperature-control requirements;
  • Declared value or other valuation information;
  • Any applicable delivery deadlines; and
  • Any other information reasonably necessary to arrange transportation.

Customer is responsible for any additional Charges, delays, penalties, claims, or losses resulting from inaccurate, incomplete, misleading, or late information supplied by Customer.

Customer is also responsible for ensuring that the Goods are properly packaged, marked, labeled, palletized, and prepared for transportation unless IGX expressly agrees otherwise in writing.

5. CARRIERS AND TRANSPORTATION ARRANGEMENTS

IGX may arrange transportation through one or more Carriers and may use different transportation providers, equipment, routes, terminals, or transportation methods as reasonably necessary to complete the shipment.

Unless otherwise agreed in writing, Customer authorizes IGX and the Carrier to:

a. Use available and appropriate transportation equipment;

b. Transfer Goods between vehicles or transportation facilities;

c. Use intermediate terminals, warehouses, or storage facilities when reasonably necessary;

d. Select reasonable transportation routes; and

e. Substitute transportation equipment or transportation providers when necessary or commercially reasonable.

Any estimated pickup or delivery time provided by IGX is an estimate unless expressly guaranteed in writing.

IGX does not guarantee a specific pickup or delivery time unless a written service agreement expressly provides otherwise.

6. RATES AND CHARGES

All rates quoted by IGX are based on the shipment information provided by Customer and are subject to the terms of the applicable rate confirmation or written quotation.

Additional Charges may apply when actual shipment conditions differ from the information provided by Customer.

Additional Charges may include, without limitation:

  • Detention;
  • Demurrage;
  • Storage;
  • Layover;
  • Re-delivery;
  • Redelivery attempts;
  • Truck ordered but not used;
  • Waiting time;
  • Tolls;
  • Permits;
  • Special handling;
  • Additional stops;
  • Oversize or overweight charges;
  • Address corrections;
  • Appointment-related charges;
  • Inside pickup or delivery;
  • Liftgate services;
  • Residential delivery;
  • Accessorial services; and
  • Other charges incurred in connection with the shipment.

Customer agrees to pay all undisputed Charges in accordance with the applicable payment terms.

Unless otherwise agreed in writing, Charges become due regardless of whether Customer has submitted or intends to submit a cargo claim.

7. PAYMENT TERMS

Customer agrees to pay all amounts due to IGX within the payment period specified on the applicable invoice, rate confirmation, credit agreement, or other written agreement.

Customer may not withhold, deduct, offset, or delay payment because of a pending cargo claim or dispute unless IGX expressly agrees otherwise in writing or applicable law requires otherwise.

If Customer fails to pay amounts when due, IGX may suspend or terminate Services and may require payment in advance for future shipments.

Customer is responsible for reasonable collection costs, attorneys’ fees, court costs, and other expenses incurred by IGX in collecting amounts lawfully owed by Customer.

Where applicable, all persons or entities included within the definition of Customer may be jointly and severally responsible for Charges owed to IGX.

8. CARGO CLAIMS AND NOTICE

Claims relating to loss of, damage to, or non-delivery of Goods must be submitted in writing and must identify the shipment, Goods involved, nature of the claim, and amount claimed.

Unless otherwise required by applicable law or a separate written agreement, Customer must provide IGX with written notice of a cargo claim within ninety (90) days after delivery of the Goods or the date on which the Goods should reasonably have been delivered.

IGX may assist Customer by forwarding a timely claim to the Carrier responsible for the transportation.

Customer acknowledges that IGX is not the Carrier responsible for the physical transportation of the Goods and that applicable claim procedures, deadlines, and liability limitations may apply separately to the Carrier.

Customer remains responsible for complying with all applicable claim-notice and lawsuit limitation periods applicable to the Carrier.

9. CARRIER LIABILITY

Customer acknowledges that the Carrier performing the transportation may have its own terms, tariffs, contracts, limitations of liability, declared-value provisions, and claim procedures.

Where applicable, cargo claims against a motor Carrier may be governed by federal transportation law, including the Carmack Amendment, subject to statutory exceptions and applicable contractual provisions.

Customer is responsible for reviewing and complying with applicable Carrier claim requirements.

IGX may provide reasonable administrative assistance with claims but does not guarantee payment, settlement, or recovery from any Carrier.

10. DECLARED VALUE AND ADDITIONAL COVERAGE

Customer must notify IGX in writing before transportation begins if Customer requires a declared value or increased Carrier liability for the Goods.

Any increased valuation or additional Carrier liability must be expressly accepted by the applicable Carrier and may be subject to additional charges.

Additional charges for increased valuation or additional liability must be paid before such increased liability becomes effective.

Customer understands that increased Carrier liability and cargo insurance or shipper’s-interest insurance are different forms of protection.

IGX does not provide insurance coverage for Customer’s Goods unless expressly agreed in a separate written agreement.

Customer is responsible for obtaining cargo or shipper’s-interest insurance when desired.

11. IGX LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, IGX’s liability is limited to the services that IGX itself provides or arranges as a property broker.

Unless otherwise agreed in writing, and subject to applicable law, Customer’s recovery against IGX for loss or damage to Goods arising from transportation arranged by IGX shall not exceed the amount expressly agreed to in writing between IGX and Customer.

Where no increased liability has been expressly agreed to in writing, IGX’s liability for loss or damage to Goods shall not exceed $0.50 per pound or $50, whichever is greater, to the extent such limitation is permitted by applicable law.

For claims arising from Services other than the physical transportation of Goods, IGX’s liability shall, to the maximum extent permitted by law, be limited to Customer’s actual direct loss or $50, whichever is less.

These limitations do not apply to the extent prohibited by applicable law.

12. CONSEQUENTIAL AND INDIRECT DAMAGES

To the maximum extent permitted by applicable law, IGX shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the Services.

Such damages may include, without limitation:

  • Lost profits;
  • Lost revenue;
  • Loss of business opportunities;
  • Loss of contracts;
  • Loss of production;
  • Loss of goodwill; or
  • Other indirect economic losses.

This limitation applies regardless of whether IGX was advised of the possibility of such damages.

13. SPECIAL SERVICES AND SECURITY REQUIREMENTS

Customer must notify IGX in writing before shipment if special transportation or security services are required.

Such services may include:

  • Team drivers;
  • High-value cargo procedures;
  • Temperature-controlled transportation;
  • Specialized equipment;
  • Secure parking;
  • GPS or tracking requirements;
  • Sealed trailers; or
  • Other special handling or security requirements.

IGX will use commercially reasonable efforts to arrange agreed special services but does not guarantee that a Carrier’s failure to perform a requested special service will create liability beyond the limitations stated in these Terms, except where prohibited by applicable law.

14. PACKAGING, LOADING AND UNLOADING

Customer is responsible for ensuring that Goods are properly packaged and prepared for transportation.

Unless otherwise agreed in writing, Customer is responsible for loading and securing Goods at pickup, and the consignee or receiving party is responsible for unloading at delivery.

Customer is responsible for ensuring that Goods are suitable for the transportation method and equipment selected.

Customer may be responsible for losses, delays, injuries, property damage, or additional Charges resulting from improper packaging, loading, securing, labeling, or preparation of Goods.

15. HAZARDOUS MATERIALS

Customer must disclose all hazardous materials before booking transportation.

Customer is responsible for providing accurate hazardous-material classifications, shipping papers, labels, packaging, and other documentation required by applicable federal, state, and local laws and regulations.

Customer shall not tender hazardous materials to IGX or a Carrier without prior written disclosure and acceptance.

Customer may be responsible for any fines, penalties, damages, delays, or expenses arising from inaccurate or incomplete hazardous-material information.

16. REFUSED OR FAILED DELIVERY

If a consignee refuses delivery, fails to accept delivery, is unavailable, or otherwise prevents completion of delivery, IGX or the Carrier may take reasonable steps to protect the Goods.

Such steps may include:

  • Re-delivery;
  • Return transportation;
  • Storage;
  • Transfer to another facility;
  • Disposal where legally permitted; or
  • Other commercially reasonable measures.

Customer is responsible for all resulting Charges and expenses.

A refusal or failed delivery does not automatically eliminate Customer’s right to assert a valid cargo claim where such right exists under applicable law.

17. DETENTION, DEMURRAGE AND STORAGE

Customer may be responsible for detention, demurrage, layover, storage, redelivery, and other accessorial Charges resulting from circumstances outside the Carrier’s or IGX’s reasonable control or from Customer’s or consignee’s actions or omissions.

Applicable rates may be stated in the rate confirmation, quotation, Carrier terms, or other written documentation.

18. FORCE MAJEURE

Neither IGX nor a Carrier shall be liable for delays, losses, damages, or inability to perform caused by events beyond the reasonable control of the affected party.

Such events may include, without limitation:

  • Severe weather;
  • Natural disasters;
  • Floods;
  • Fires;
  • Earthquakes;
  • War;
  • Terrorism;
  • Civil unrest;
  • Government restrictions;
  • Embargoes;
  • Labor disputes;
  • Strikes;
  • Pandemics or epidemics;
  • Road closures;
  • Transportation network disruptions;
  • Port or terminal congestion;
  • Equipment shortages;
  • Acts of governmental authorities; or
  • Other events beyond reasonable control.

During such events, IGX or the Carrier may take reasonable steps to protect the Goods and may modify, delay, suspend, or cancel transportation arrangements when necessary.

Customer remains responsible for reasonable transportation, storage, handling, and other Charges incurred in connection with the shipment, subject to applicable law and the parties’ written agreement.

19. LIEN RIGHTS

To the extent permitted by applicable law, IGX reserves any lien rights available to it against Goods or other property in its possession or control for unpaid Charges relating to the Services.

Where legally permitted, such lien rights may extend to reasonable costs associated with storage, security, handling, preservation, disposal, and collection of amounts due.

Any exercise of lien rights will be subject to applicable federal and state law.

20. CUSTOMER INDEMNIFICATION

To the maximum extent permitted by law, Customer agrees to defend, indemnify, and hold harmless IGX, its officers, employees, agents, and representatives from claims, damages, losses, penalties, costs, and expenses arising from:

  • Customer’s breach of these Terms;
  • Inaccurate or incomplete shipment information;
  • Improper packaging or preparation of Goods;
  • Undisclosed hazardous materials;
  • Customer’s violation of applicable law;
  • Customer’s negligence or willful misconduct; or
  • Claims arising from Customer’s acts or omissions.

This provision does not require Customer to indemnify IGX for IGX’s own negligence or misconduct to the extent prohibited by applicable law.

21. COMPLIANCE WITH LAW

Customer and IGX agree to comply with applicable federal, state, and local laws and regulations governing the Services.

Customer is responsible for ensuring that the Goods and shipment instructions comply with all applicable laws and regulations.

22. ELECTRONIC COMMUNICATIONS

Customer agrees that IGX may communicate with Customer electronically regarding shipments, rates, invoices, pickup and delivery information, claims, and other Services.

Electronic communications, including email and electronic confirmations, may constitute written communications for purposes of these Terms to the extent permitted by applicable law.

23. CANCELLATION

Customer may cancel a shipment subject to any cancellation charges stated in the applicable rate confirmation or other written agreement.

Customer may also be responsible for Charges incurred before cancellation, including truck ordered but not used, detention, layover, repositioning, or other reasonable expenses.

24. NO GUARANTEE OF TRANSIT TIMES

Pickup and delivery dates and times provided by IGX are estimates unless expressly guaranteed in a written agreement.

IGX does not guarantee transit times where delays result from traffic, weather, mechanical problems, loading or unloading delays, government inspections, Carrier circumstances, facility closures, or other events beyond IGX’s reasonable control.

25. THIRD-PARTY SERVICES

IGX may use independent third-party service providers, including Carriers, storage providers, terminals, and other transportation-related companies.

Customer acknowledges that third-party providers may have their own terms and conditions.

IGX is not responsible for services independently provided by third parties except to the extent liability is imposed on IGX under applicable law or an applicable written agreement.

26. PRIVACY

IGX may collect and use information necessary to provide transportation brokerage and related Services, communicate with Customer, process payments, administer accounts, and comply with applicable laws.

Customer’s use of the IGX website may also be subject to IGX’s Privacy Policy.

27. WEBSITE USE

The ShipWithIGX.com website is provided for informational and business purposes.

Customer agrees not to misuse the website, interfere with its operation, attempt unauthorized access, introduce malicious software, or use the website in violation of applicable law.

Information displayed on the website may be updated from time to time and does not necessarily constitute a binding transportation quotation or service agreement unless expressly identified as such.

28. GOVERNING LAW AND VENUE

These Terms shall be governed by and interpreted in accordance with the laws applicable to the transaction, without regard to conflict-of-law principles, except to the extent federal transportation law or other mandatory law applies.

Any dispute between Customer and IGX arising from or relating to the Services shall be brought in a court of competent jurisdiction in the agreed venue specified in the applicable written agreement or, if no venue is specified, in a jurisdiction permitted by applicable law.

Nothing in these Terms is intended to waive any jurisdiction, venue, or rights that cannot lawfully be waived.

29. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

30. NO WAIVER

IGX’s failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of IGX’s right to enforce that provision in the future.

31. ENTIRE AGREEMENT

These Terms, together with any applicable written quotation, rate confirmation, service agreement, credit agreement, and other documents expressly incorporated by reference, constitute the agreement between IGX and Customer concerning the Services.

If there is a conflict between these Terms and a separately signed written agreement, the separately signed agreement shall control to the extent of the conflict.

32. MODIFICATIONS

IGX may update these Terms from time to time.

The version of these Terms in effect at the time Services are requested or provided will apply unless a different written agreement applies.

Continued use of IGX’s Services after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
